These Terms of Service ("Terms") govern your access to and use of Depnes (the "Service"), operated by Depnes, in Ontario, Canada ("we," "us," or "our"). By accessing or using Depnes, you agree to these Terms. If you do not agree, do not use our Service. These Terms are originally written in English. In the event of any inconsistency or conflict between the English version and any translated version, the English version shall prevail. 1. Definitions Service: The Depnes social media and video-sharing platform. User / Creator: Any person accessing or using Depnes. Username / Creatorname: display name of account holder on app. Content: Any videos, images, posts, reactions, or other material submitted to Depnes by Users. Subscription: Paid features available through Apple or Google in-app purchases. 2. Acceptance of Terms By creating an account, using the Service, or interacting with Depnes in any way, you agree to be bound by these Terms, including our Privacy Policy and Community Guidelines. If you do not agree, do not use the Service. 3. The Depnes Service Depnes is a social media platform that allows Creators to: Create, share, and engage with content: Upload videos, record reactions (with your consent), post updates, and interact with other users. Discover and interact: Follow, heart, react, share content, and participate in trends or communities. Freemium and subscription features: Access basic features for free; optional paid subscriptions provide additional benefits. Safe and positive environment: We maintain tools, moderation, and systems to foster a safe community. Global infrastructure: Data may be stored or processed in Canada, the U.S., or other jurisdictions where Depnes or its service providers operate. You are responsible for providing your own devices, internet access, and related costs. 4. Funding and Advertising Depnes operates on a freemium model with optional paid subscriptions via Apple or Google. In the future, the Service may include ads or sponsored content. By using Depnes, you consent to the display of such content. 5. Privacy Your information is collected, stored, and processed according to our Privacy Policy, which is incorporated by reference. You must agree to our Privacy Policy to use the Service. 6. User Commitments 6.1 Eligibility To use Depnes, you must: Be at least 13 years old, or meet your country's minimum legal age. Not be prohibited by law from using the Service. Not have had a Depnes account disabled for violating law or these Terms. Not be a convicted sex offender. 6.2 Prohibited Conduct As a Creator, you must not: Impersonate others or provide false information. Use the Service for unlawful, misleading, or unauthorized purposes. Violate these Terms, Community Guidelines, or Depnes policies. Interfere with the functionality or security of the Service, including unauthorized automated data collection. Post content that infringes on intellectual property, privacy, or other rights. 6.3 Permissions You Give Us By submitting Content or interacting with Depnes, you grant us a worldwide, non-exclusive, royalty-free, transferable, sub-licensable license to host, use, display, distribute, modify, and create derivative works of your Content consistent with your privacy settings. This license ends when your Content is deleted and removed from our systems, except for retained backups required for legal or technical purposes. You also consent to Depnes displaying your username, profile picture, and activity (hearts, follows, reactions) in connection with your interactions or sponsored content. 7. Intellectual Property You retain ownership of your Content. Depnes retains all rights to its logos, designs, software, and platform features. Use of Depnes intellectual property is allowed only with written permission or as permitted in our Brand Guidelines. Depnes grants you a limited, non-exclusive license to use the Service in accordance with these Terms. 8. Content Removal and Account Termination Depnes may remove Content or suspend/terminate accounts for violations of law, these Terms, or Depnes policies. Content deletion requests will generally be completed within 90 days, unless legal, security, or technical reasons require retention. Even after termination or deletion, sections regarding user commitments, liability, and dispute resolution still apply. 9. Limitation of Liability and Indemnification Depnes is provided "as-is" and without warranties. We do not guarantee uninterrupted service or content accuracy. To the fullest extent permitted by law, Depnes is not liable for damages resulting from your use of the Service. You agree to indemnify and hold Depnes harmless from any claims, damages, or losses arising from your use of the Service or violation of these Terms. 10. Payments and Refunds Paid subscriptions are processed exclusively through Apple or Google. All billing, cancellations, and refunds are subject to the policies of Apple and Google. Depnes is not responsible for payment processing issues outside our control. 10.1 Subscription and Auto-Renewal Terms Certain features of the Service are available through auto-renewable paid subscriptions purchased through the Apple App Store or Google Play Store ("Subscriptions"). When you purchase a Subscription, you authorize the applicable app store to charge your chosen payment method. Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless you cancel at least 24 hours before the end of the current period. Billing: Your account will be charged for renewal within 24 hours prior to the end of the current billing period, at the rate shown at the time of purchase. Managing Subscriptions: You may manage or cancel your Subscription at any time through your account settings in the Apple App Store or Google Play Store. iOS: Open Settings → Apple ID → Subscriptions Android: Open Google Play → Profile → Payments & Subscriptions No Refunds: Payments are non-refundable, and there are no refunds or credits for partially used periods, except where required by applicable law or by the policies of the Apple App Store or Google Play Store. Price Changes: If we change Subscription pricing, you will be notified in advance and allowed to cancel before the new pricing takes effect. 11. Dispute Resolution Any disputes arising under these Terms shall be brought exclusively in the courts of Ontario, Canada. You consent to the personal jurisdiction and venue of these courts. Nothing in these Terms limits your rights as a consumer under applicable law. 12. Changes to These Terms Depnes may update these Terms to reflect changes to the Service, legal requirements, or policies. Notice will be provided via the app or other reasonable means. Continued use after updates constitutes acceptance of the new Terms. 13.
